Using ActionNudge
These Terms & Conditions govern access to ActionNudge websites, applications and APIs, including Follow-Up Automation, Complaint Resolution and Quote-to-Payment. In these terms, "ActionNudge," "we" and "us" refer to the business operating the ActionNudge service. Contact us at support@actionnudge.com.
By creating an account or using the service, you agree to these terms. If you act for a business or other organization, you must have authority to agree on its behalf. You must be legally able to enter into a contract and at least the age of majority where you live. If you do not agree, do not use the service.
Our Privacy Policy explains personal information handling. Our Refund Policy forms part of these terms for ActionNudge subscription fees. A separate agreement signed by us and your organization controls where it expressly overrides these terms.
Accounts and workspace access
Provide accurate account, business and billing details, keep them up to date, and protect passwords, authentication codes and access links. Notify us promptly of suspected unauthorized access. Do not share another person's account or bypass access restrictions.
Your organization controls its workspace and authorized members. Workspace owners and administrators can manage permissions and view records within their authorized roles. You are responsible for the members you authorize and activity you permit through your workspace.
Customer workflows and AI
You retain ownership of the content you provide. You grant ActionNudge the permissions needed to host, process and display that content to deliver the service under these terms and the Privacy Policy. You must have the rights and permissions to import customer information, connect accounts and send communications.
AI summaries, classifications, suggested replies and recommended actions can be incomplete or incorrect. Review outputs before relying on them, sending messages or making business decisions. ActionNudge does not provide legal, tax or financial advice, or guarantee sales, collections, complaint outcomes or regulatory compliance.
Complaint status can place payment follow-ups on hold. A hold is an operational control: it does not cancel an invoice, resolve a dispute, issue a refund or change a customer's legal obligations.
Quotes and invoices are your business documents. You remain responsible for their accuracy, taxes, payment instructions and customer agreements. A manually recorded payment or an external payment link is not proof that funds have settled. ActionNudge is not the seller or merchant of record for transactions between you and your customers.
Acceptable use
Use ActionNudge only for lawful business purposes. You must not:
- Send spam, deceptive messages, threats or unlawful collection demands, or ignore consent and unsubscribe obligations.
- Upload unlawful content, infringe others' rights, impersonate another person or access data without authorization.
- Introduce malicious code, interfere with the service, evade usage limits or attempt to defeat security and tenant isolation.
- Submit payment-card security codes, account passwords or sensitive regulated information that the service is not expressly authorized to handle.
- Resell access or use ActionNudge branding in a way that implies our endorsement without permission.
ActionNudge and its licensors retain rights in the platform, software and branding. You receive a limited right to use the service for your authorized business purposes while complying with these terms.
Trial and monthly billing
Plans are monthly only. There is no yearly subscription. Eligible workspaces receive one 14-day trial when their first subscription is confirmed by the payment provider after payment authorization. Registration or selecting a plan preference alone does not start a billable subscription.
Unless you cancel before the trial ends, the first monthly charge is due at the end of the trial. The subscription then renews and bills automatically each month until canceled. Returning subscribers are not entitled to another trial. Review the amount, currency, trial end and renewal terms shown during checkout before authorizing payment.
Current monthly prices are Starter 29, Business 79 and Pro 149. Canada uses CAD; other countries use USD at the same numeric price, not an exchange-rate conversion. Website currency detection is approximate. Confirm your billing country and the final currency at checkout. Location changes do not automatically change an existing subscription.
PayPal is the primary planned payment option and Stripe is the alternative, subject to activation and availability. Payment details are entered with the provider, not collected in ActionNudge's own payment fields. Any applicable taxes must be disclosed before purchase. We will communicate changes to your recurring price before they apply and obtain authorization where required.
Registration, integrations and paid checkout may be unavailable during early access. A pricing page or feature preview is not confirmation that a service is active. Payment obligations arise only from a subscription you authorize, not from this policy being published.
Cancellation and refunds
A workspace owner or administrator can cancel a subscription through the member app's Billing area when subscription management is available. Cancel before the trial ends to avoid the first charge, or before the next renewal to stop future charges. If you cannot access cancellation, contact support@actionnudge.com promptly with your workspace and billing email. Keep the cancellation confirmation.
Cancellation stops future renewals; it does not automatically refund a charge already made. Previously confirmed trial or paid-through access continues to its end, unless access is restricted for a separate security, legal or terms violation. Uninstalling an integration, not using the service or sending a refund request does not itself cancel a subscription.
Monthly fees are non-refundable except where required by law. Duplicate or incorrect charges are reviewed and confirmed billing errors are corrected. See the Refund Policy for the request process and exceptions.
Third-party services
Optional mailbox, social and payment integrations require separate setup and authorization. Their providers have their own terms, privacy practices, permissions and availability. Grant access only to accounts you are authorized to connect. You can revoke provider permissions, although this does not itself remove records already imported into a workspace.
Third-party outages or changes may interrupt functionality. We do not guarantee a particular integration, data import or message delivery time. Features shown as planned or in development are not commitments to a delivery date.
Availability and responsibility
We take reasonable care in operating ActionNudge, but do not promise uninterrupted or error-free service. To the extent permitted by applicable law, the service is supplied as available without guarantees of fitness for a particular purpose. Maintain appropriate copies of your important business records and review critical actions independently.
To the extent permitted by law, we are not responsible for indirect or consequential loss, or lost revenue or opportunities resulting from reliance on AI suggestions, customer decisions or third-party service failures. Nothing in these terms excludes liability for fraud or willful misconduct, or limits any liability, warranty or consumer right that cannot lawfully be excluded or limited.
Suspension and account closure
We may restrict access where reasonably necessary to address abuse, a security risk, unlawful activity, non-payment or a material breach of these terms. Where practicable and lawful, we will explain the restriction and how to seek review. Urgent protective action may happen without advance notice.
Contact support to request workspace closure or assistance with your records. Account closure and subscription cancellation are separate from personal information deletion. The Privacy Policy explains retention and deletion requests. Closing an account does not remove outstanding lawful payment obligations or rights that accrued before closure.
Changes, questions and your rights
We may update these terms as the service changes. Revised terms will show an updated effective date. We will provide reasonable notice of material changes and request renewed agreement where required by law. Changes do not retroactively remove rights relating to an earlier purchase or dispute.
